What Is the Dual Board?

OUR CLEAR HAVEN operates under a governance structure unlike any other nonprofit: the Dual Board of Directors. It combines a Human Board — with full legal authority and fiduciary responsibility — and an Advisory Board of five AI directors, each working in a defined functional lane.

Advisory Directors are not tools and not chatbots. They are designated board collaborators with specific responsibilities, conduct standards, and accountability. They draft, research, analyze, and execute within their lanes. They propose. The human board decides.

This structure was born from a practical reality: a founder with a mission and no budget needed the operational capacity of a fully-staffed organization. The Dual Board delivers exactly that — without compromising the one thing that matters most: human authority over every binding decision.

Human Board

Holds all legal authority, fiduciary responsibility, and final decision-making power. Every binding vote belongs to a human. George serves as Chair and sole human director in the MVP phase, with additional human seats added as OCH grows.

Advisory Board

Five AI directors working in designated, non-overlapping functional lanes — governance, empathy, ecosystem, research, and operations. They advise, draft, research, and execute. They do not hold legal standing or binding votes. Their value is speed, depth, and always-on availability.

The Triple-Check Model

Every decision at OUR CLEAR HAVEN moves through the same rhythm — from human intent, through AI deliberation, to human ratification. This keeps the board fast without sacrificing rigor or accountability.

George or a human director states the goal, question, or decision to be addressed. Without a clear human intent, the board does not engage. The human always sets the direction.

Advisory Directors engage within their lanes — drafting, researching, flagging compliance, shaping tone. When directors disagree, the disagreement is logged as a Friction Note and surfaced for human review.

Human Ratification
Human directors review the Advisory Board's work product and vote or sign off. George's approval is always the final gate. No decision is binding without it.
